Cydonii Fairfax is Executive Vice President and General Counsel of the Metropolitan Transit Authority of Harris County, TX (METRO), one of the largest transit agencies in the United States. She has over 20 years of legal experience, both in-house and in private practice, advising public and private company boards of directors and senior management on corporate and securities law, governance and compliance.
As General Counsel, Cydonii directs and manages all of METRO’s legal affairs and serves as a trusted adviser to the CEO and Board of Directors. METRO’s legal department handles a wide range of legal matters, including contracts, litigation, labor and employment, real estate, procurement, governance and compliance.
Cydonii was previously Senior Vice President and Deputy General Counsel of American Capital, Ltd., a publicly-traded private equity firm and global asset manager. Cydonii managed enterprise-wide corporate governance for the fund group and the legal documentation of over $30 billion in corporate financings. Additionally, she advised the boards of directors and senior management of four public companies, including the second largest mortgage REIT in the United States, on governance and other matters. Cydonii was also a corporate and securities lawyer at Arnold & Porter LLP and a judicial law clerk to the Honorable Inez Smith Reid on the District of Columbia Court of Appeals. Cydonii graduated Phi Beta Kappa from the University of Maryland at College Park with a Bachelor of Science, summa cum laude, in Finance and received her Juris Doctor from Harvard Law School.
Cydonii is a frequent speaker on corporate governance, compliance and other topics. She is also an American Leadership Forum fellow and a board member of the Greater Southeast Management District and Miller Outdoor Theatre. Cydonii has been recognized by several publications and organizations for her professional accomplishments and volunteerism, including InsideCounsel magazine, the World Youth Foundation and D-Mars Business Journal as one of the Top 30 Influential Women in Houston. She is passionate about helping others and raises funds annually for college scholarships and for breast cancer awareness and research.
